Manis Annual Pass Subscription Agreement

THIS SUBSCRIPTION AGREEMENT (the “Agreement”) is entered into by the Subscriber (“Subscriber” or “You”) and Spread Ideas Move People, LLC. d/b/a Cafe con Pam (the “Company” or “We”). This Agreement may refer to Subscriber and the Company individually as a “party” or collectively as the “parties.” THE PARTIES AGREE AS FOLLOWS:

NOTICE

By subscribing in and participating in Cafe con Pam’s Manis Annual Pass(the “Program”) and consenting to this Agreement you are agreeing to the following terms and conditions. Please read this Agreement carefully before accessing or using proprietary materials which includes any written, audio, or visual presentations or documents associated with the Experience. If you do not understand or do not accept this Agreement, please do not access any of the Company’s proprietary materials and immediately contact us at hola@spreadideasmovepeople.com.

Program Scope. By subscribing to the Program, you will have access to the following services as applicable based on the Level that is made available for purchase (the “Services”).

Annual Subscription

Manis Annual Pass – 12 month subscription membership. The initial annual membership term lasts one year (365 days) beginning on the day the Participant first has access to the Services.

Membership includes access and/or admittance to the following:

  • Weekly group office hour sessions including tapping and mindset coaching

  • Access to an exclusive members-only online community platform

  • Access to the 30 Day Tapping Challenge

  • Learning materials about business topics, including those from the following: 30 Day Tapping Challenge, PowerSisters Workshop, Quarterly Planning Meetigns, Tapping for Goals, and other courses as they may be replaced from time to time

  • The opportunity to purchase additional 1:1 coaching calls which Pam Covarrubias will provide subject to the terms and conditions set forth in this Agreement

  • Any limited bonuses offered at the time of enrollment

In consideration for the Services provided, you pay us as follows:

Pay a one time subscription fee of USD $359 for Founding Members or $650 at the time of enrollment for your initial 12 month subscription.

Cafe con Pam may sometimes offer a payment installment plan. This could be either through a third party financing partner or through Cafe con Pam directly. If this is offered at the time of purchase, you understand that this is not a monthly fee. Instead this is an installment plan spreading out the payment of the full subscription fee and any mid-subscription cancellation by you does not relieve you of the obligation to pay the subscription fee in full.

You understand and agree that your subscription will not renew with the same payment method for an additional 12 month term at either the original contract price or an increased price. Renewals will not occur.

Monthly Subscription

Manis Annual Pass - Monthly is a month-to-month subscription membership. The initial membership term lasts 30 days beginning on the day the Participant first has access to the Services.

Membership includes access and/or admittance to the following:

  • Weekly group office hour sessions including tapping and mindset coaching

  • Access to an exclusive members-only online community platform

  • Access to the 30 Day Tapping Challenge

  • Learning materials about business topics, including those from the following: 30 Day Tapping Challenge, PowerSisters Workshop, Quarterly Planning Meetigns, Tapping for Goals, and other courses as they may be replaced from time to time

  • The opportunity to purchase additional 1:1 coaching calls which Pam Covarrubias will provide subject to the terms and conditions set forth in this Agreement

  • Any limited bonuses offered at the time of enrollment

In consideration for the Services provided, you agree to a Monthly Fee of USD $27.00 for founding members or $49.00 for your initial 30 day subscription.

Payment Date

For monthly payments, the Company will bill Participant monthly on the same day, beginning on the date of their subscription (the Monthly Payment Date).

If the Monthly Payment Date is on the 29th, 30th, or 31st, then upon reaching a month which does not contain the applicable date, the Monthly Payment Date shall default to the last day of the month and revert to the original payment date thereafter. To illustrate:

If a subscription is purchased on the 31st December 2022, the next 4 payments will be charged on:

  • 31st January 2023, 28th February 2023 (The last day of a month which does not contain a 31st day). 31st March 2023, 30th April 2023 (The last day of a month which does not contain a 31st day).

Late Payment Fee

If any fee outlined in this Agreement remains unpaid after the fifth calendar day following its due date, Cafe con Pam reserves the right to assess a penalty fee of ten percent (10%) of the payment due at its own discretion. We reserve the right to restrict your access to the Services, or terminate your participation in the Services unless and until all outstanding program fees and assessed penalties are paid in full. If your Program fees remain unpaid 30 days after the initial due date, your account will be referred to our collections agency.

Financing

In select cases, Cafe con Pam may offer financing options. If you receive financing through a third party provider, you will be subject to its terms and conditions. Cafe con Pam will not be liable for any loss or damage to you that arises out of or results from an action by the third party. If you receive financing through Cafe con Pam, you understand that it is not a monthly fee. Instead it is an installment plan spreading out the payment of the full subscription fee and any mid-subscription cancellation by your does not relieve you of the obligation to pay the entire amount in full.

In all cases, Cafe con Pam reserves the right to cancel your subscription and/or demand payment of the total balance if you fail to make any payment within five business days of such payment’s due date.

Payment Security and Chargebacks

To the extent that Participant provides the Company with credit card information for payment, the Company is authorized to charge Participant’s credit card for any unpaid charges on the dates set forth herein. If Participant uses an installment option to make payments to the Company, the Company is authorized to make all charges at the time they are due and not require separate authorization to do so. Participant shall not make any chargebacks to Company’s account or cancel the credit card that is provided as security without Company’s prior written consent. Participant is responsible for any fees associated with recouping payment on chargebacks and any collection fees associated therewith. Participant shall not change any of the credit card information provided to Company without notifying Company in advance. If the credit card on file is lost, stolen, or otherwise replaced, Participant will provide updated card information to the Company as soon as possible.

NO REFUNDS

Cafe con Pam will issue NO REFUNDS under any circumstances for your cancellation of your participation in a Program. You may elect to cease participation in the Program and/or cancel your subscription; however, please note that if you selected to pay for a Program through an installment payment plan, you will remain obligated to pay all remaining unpaid and owed program fees in full.

Cancellation of Subscription

For the 12 month payment plan option you may cancel your membership within the first 72 hours of enrollment for a $75 early cancellation fee. After the initial 72 hours post enrollment, the cost of cancellation is the remainder of your membership agreement. If another member would like to buy out your membership, their access will be removed upon receipt of payment and no refunds will be permitted for previous payments.

All Monthly Manis Pass Membership purchases or Pay in Full Manis Pass Memberships are final sale & there is no cancellation option for these two payment options.

For subscriptions, you may cancel future memberships for any reason with one calendar day notice prior to the billing for the next membership period. If you fail to provide one day's notice, your request may not be received and/or processed prior to the next membership period and you may be charged for this period. Such charge will not be refundable, but you will retain access to the Program through the purchased term. 

To cancel your membership, go to your billing profile or email hola@spreadideasmovepeople.com with your request.

Cafe con Pam Initiated Cancellation

Cafe con Pam may cancel your Program membership at any time for any reason by providing written notice to you. In the event that we cancel your membership, we will provide a prorated refund of program fees to be calculated based on the time left in the program. There will be no refund of Lifetime Memberships (when available) after three years. Notwithstanding our obligation to refund prorated program fees in the event of our cancellation of your membership in monthly or annual subscriptions, no other partial or full refunds will be given to Participant for any reason on any date. Neither Participant’s cancellation, nor Participant’s failure to effectively participate in the program, are grounds for a refund.

PLEASE NOTE THAT CAFE CON PAM’S CANCELLATION OF THE PROGRAM DUE TO UNFORESEEN CIRCUMSTANCES WILL BE HANDLED PURSUANT TO THE FORCE MAJEURE CLAUSE WITHIN THE TERMS AND CONDITIONS AND NOT PURSUANT TO THIS SECTION. CAFE CON PAM WILL NOT ISSUE A REFUND FOR A FORCE MAJEURE EVENT.

Auto Renewal. For annual subscriptions, your membership will not renew automatically upon the end of the term. For monthly subscriptions, your membership will automatically renew in monthly increments for 12 months. Upon the first day of the renewed term, we will process your credit card for the same Program Fee.

Personal Effort

You understand that your success in the Program is dependent upon your level of participation in the Services. To get the most out of the Service, you must also work to implement the tools and strategies learned throughout the Service and make considerable efforts toward your own business development. You are responsible for requesting support from us when needed.

Disclaimer

Our Programs, Products, Services, and Program Materials are for informational and educational purposes only. To the fullest extent permitted by law, we expressly exclude any liability for any direct, indirect or consequential loss or damage incurred by you or others in connection with our Programs, Products, Services, and Program Materials, including without limitation any liability for any accidents, delays, injuries, harm, loss, damage, death, lost profits, personal or business interruptions, misapplication of information, physical or mental disease, condition or issue, physical, mental, emotional, or spiritual injury or harm, loss of income or revenue, loss of business, loss of profits or contracts, anticipated savings, loss of data, loss of goodwill, wasted time and for any other loss or damage of any kind, however and whether caused by negligence, breach of contract, or otherwise, even if foreseeable. You specifically acknowledge and agree that we are not liable for any defamatory, offensive or illegal conduct of any other Program, Product, Service or Program Materials participant or user, including you.

Our Programs, Products, Services, and Program Materials are not to be perceived as or relied upon in any way as medical advice or mental health advice.

The information provided through our Programs, Products, Services, and Program Materials is not intended to be a substitute for professional medical advice, diagnosis or treatment that can be provided by your own physician, nurse practitioner, physician assistant, therapist, counselor, mental health practitioner, licensed dietitian or nutritionist, member of the clergy, or any other licensed or registered health care professional. Do not disregard professional medical advice or delay seeking professional advice because of information you have read in our Programs, Products, Services, and Program Materials, or received from us. The information provided through our Programs, Products, Services, and Program Materials is not intended to be a substitute for professional advice that can be provided by your own accountant, lawyer, or financial advisor. We are not giving financial or legal advice in any way. You are solely responsible for your results.

Earnings Disclaimer

You acknowledge that we have not and do not make any representations as to the health physical, mental, emotional, spiritual or health benefits, future income, expenses, sales volume or potential profitability or loss of any kind that may be derived as a result of your participation in this Program, Product, Services or Program Materials. We cannot and do not guarantee that you will attain a particular result, positive or negative, financial or otherwise, through the use of our Programs, Products, Services and Program Materials and you accept and understand that results differ for each individual. We also expressly disclaim responsibility in any way for the choices, actions, results, use, misuse or non-use of the information provided or obtained through any of our Programs, Products, Services or Program Materials. You agree that your results are strictly your own and we are not liable or responsible in any way for your results.

No Discrimination

The Cafe con Pam coaching team is a diverse group of coaches, most of whom are women of color. You attest that you welcome the opportunity to be coached, led, and directed from a diverse group of coaches.

No Guarantees

The Company does not guarantee any outcome of the Services and comments or statements the Company may have made about the outcome of participation in the Program is an expression of our general opinion only. We make no guarantees other than that the Services described in Program Scope shall be provided to you in accordance with this Agreement. You acknowledge that we cannot guarantee any results of the Services, as such outcomes are based on subjective factors (including, but not limited to, your participation) that cannot be controlled by us.

Use Outside the United States of America

The Website is controlled and offered by Cafe con Pam from the United States of America. Cafe con Pam makes no representations that the Site is appropriate for use in other locations. Those who access or use the Website from other locations do so at their own risk and are responsible for compliance with local law. You consent to the processing in the United States of America of information you provide to us.

Modification of Terms

Cafe con Pam reserves the right to change the terms of use, and notices under which www.cafeconpam.com and its content is hosted. By using www.cafeconpam.com or sending our office any personal information, you agree to this policy and will be deemed bound to this policy as of the date of such use.

Cafe con Pam may at any time amend these terms and conditions. Such amendments are effective immediately upon notice to you by us posting the new terms and conditions on this Site. Any use of the Site or Service by you after being notified means you accept these amendments. We reserve the right to update any portion of our Site and Service, including these terms and conditions at any time. We will post the most recent versions to the Site and list the effective dates on the pages of our terms and conditions.
